The Intent Ledger is operated by Rajas Patwardhan (ABN 21 530 398 389) trading as The Intent Ledger, a sole trader based in South Australia, Australia.
1. Service description
The Intent Ledger converts project conversations and source material into ILM Records and Project Memory, to support decision intelligence for design teams. Its outputs are assistive: The Intent Ledger is not a substitute for professional judgment, legal advice, engineering advice, financial advice, safety review, or regulatory approval.
2. Eligibility and authority
By using The Intent Ledger, you confirm that you:
- are capable of entering into this agreement;
- have authority to act for your organisation, where applicable; and
- are authorised to upload and have processed any material you submit.
3. Accounts
- You must provide accurate account information.
- You are responsible for keeping your account secure and for activity on your account.
- Do not share your credentials beyond what your own permitted use requires.
- Notify us promptly at support@theintentledger.com if you suspect your account has been compromised.
4. User content
- You retain ownership of the material you upload.
- You grant us the limited rights needed to host, process, transcribe, analyse, and display that material, solely to provide the service to you.
- This licence ends when the underlying data is deleted, subject to backups and any audit or legal records we are required to retain.
- You must have permission to upload the content you submit.
- You are responsible for obtaining any consent required to record or transcribe a conversation.
We do not claim ownership over your project content.
5. Generated output
- ILM Records may contain errors, omissions, or misinterpretations.
- You must review generated output before relying on it.
- Generated intelligence does not override your original project documents, signed instructions, professional obligations, or contracts.
- Source evidence assists your review — it is not a guarantee of accuracy.
6. Acceptable use
You must not use The Intent Ledger to:
- upload or generate unlawful content;
- infringe another person's rights;
- record or surveil anyone without authorisation;
- introduce malware or attempt to compromise the service;
- attempt to bypass plan or usage limits;
- abuse or overload our infrastructure;
- share credentials beyond permitted use;
- reverse engineer the service where that restriction is legally enforceable;
- run automated extraction that harms the service; or
- make high-impact decisions based on ILM output without proper human review.
This list is not intended to restrict ordinary professional work using the product as designed.
7. Free plan
- First Memory currently includes three lifetime ILM Records, under the limits published at signup.
- We may adjust free-plan limits prospectively, with reasonable notice.
- Your existing work is not hidden merely because your free usage is exhausted.
- Generating further ILM Records beyond your free allowance requires a paid plan or, where available, a Recall.
We do not promise that free-plan pricing or limits can never change.
8. Paid subscriptions
- Paid plans are billed monthly or annually, on a recurring basis.
- Prices are displayed before you reach Checkout, and applicable taxes may be added.
- Your subscription renews automatically until you cancel it.
- You can cancel at any time through Manage billing on your dashboard.
- Cancellation is scheduled for the end of your current billing period.
- Your access continues through the paid-through date shown in Manage billing.
- Annual billing does not convert your monthly ILM Record allowance into a single annual pool — usage resets follow your plan's published monthly rules.
9. Plan changes
At this stage of launch, you manage your subscription through Stripe's Manage billing portal. Self-serve plan switching may not yet be available inside the product. Contact support if you would like to change plans — we do not promise a specific proration behavior that has not yet been implemented.
10. Recalls and one-time outputs
Recalls and one-time outputs may be offered separately from your plan. Availability, price, and fulfilment terms will be shown before purchase. They are not currently available to purchase.
11. Refunds and consumer rights
Except where required by law or expressly stated, fees are generally non-refundable for change-of-mind cancellations. Nothing in these Terms excludes, restricts, or modifies rights or remedies that cannot lawfully be excluded, including applicable rights under the Australian Consumer Law.

12. Availability and changes
- We make reasonable efforts to keep the service available.
- Maintenance and outages may occur.
- Features may evolve over time.
- We will communicate material reductions affecting paid plans reasonably in advance where practical.
We do not guarantee uninterrupted service.
13. Suspension and termination
We may suspend or terminate access for:
- a security risk;
- unlawful use;
- material breach of these Terms;
- non-payment; or
- abuse of the service.
Where circumstances allow, we will provide reasonable notice. Suspension or termination does not mean immediate deletion of all your data — see "Data after cancellation" below.
14. Data after cancellation
- Cancellation does not automatically delete your existing records.
- Your ability to create new ILM Records changes according to your effective entitlement after cancellation.
- Deleting your account or data is a separate request — see our Privacy Policy for how to make one.
- Audit and billing records may remain after cancellation, as described in our Privacy Policy.
15. Intellectual property
- We retain our platform, software, branding, and system intellectual property.
- You retain your own content.
- While entitled to use the service, you receive a limited right to use it — not ownership of it.
16. Confidentiality
- Your project materials are processed only to deliver the service to you.
- We take reasonable steps to restrict access to your materials.
- You remain responsible for assessing whether the service is appropriate for highly confidential or regulated material.
We do not provide an absolute confidentiality guarantee.
17. Third-party services
The Intent Ledger relies on third-party providers, including Stripe, Supabase, OpenAI, Vercel, and Resend (email delivery for authentication and essential service emails). Availability of The Intent Ledger may depend on the availability of these providers.
18. Disclaimers
The service is provided on a reasonable-efforts basis. We do not disclaim intentional wrongdoing, our statutory obligations, or all responsibility for the service — only what the law allows us to disclaim.
19. Liability
To the extent permitted by law, our liability arising from your use of the service is limited, while preserving any consumer rights that cannot be excluded by law.
20. Indemnity
To the extent permitted by law, you agree to indemnify us against claims arising from your unlawful conduct, infringement of another person's rights, or content you were not authorised to upload.
21. Governing law
These Terms are governed by the laws of South Australia, Australia, subject to any mandatory consumer protections or jurisdictional rights that apply.
